1. Acceptance
By using thelogivault.com (the "Site") or requesting services from Logivault LLC, doing business as Logi-Vault ("Logi-Vault", "we", "us"), you agree to these Terms of Service and our Privacy Policy. If you use the Site or our services for a company, you confirm that you can bind that company to these terms.
2. Our services and agreements
Logi-Vault provides warehousing, ecommerce and B2B fulfillment, Amazon FBA prep, kitting, returns processing, shipping coordination, supply chain services, product sourcing, freight coordination and Amazon brand, advertising and account management. Specific services, rates, service levels, insurance and liability terms are set out in a written services agreement or signed quote (the "Services Agreement"). If the Services Agreement conflicts with these terms, the Services Agreement controls.
3. Quotes and pricing
Information on the Site, including descriptions of pricing, turnaround times and transit estimates, is general information and not an offer. Quotes are based on the information you provide and become binding only when accepted in a Services Agreement. Carrier postage, freight, duties, taxes and third-party fees are billed as described in your quote. Advertising spend on Amazon or other platforms is paid by the client and is separate from our fees.
4. Client responsibilities
- Provide accurate product information, including dimensions, weights, lot numbers, expiration dates, hazardous material status and any special handling needs.
- Make sure your products, labeling and listings comply with applicable laws and marketplace rules, and that you have the rights to sell them.
- Ship inventory to us following our receiving guidelines and give advance notice of inbound shipments.
- Keep account credentials secure, and grant us access to third-party accounts (such as Amazon Seller Central) only through user permissions or authorized integrations, never by sharing passwords.
- Pay invoices on time as set out in the Services Agreement.
5. Prohibited goods
Unless agreed in writing, we do not accept: hazardous materials and dangerous goods; products requiring refrigeration or freezing; firearms, ammunition, weapons and explosives; illegal drugs, controlled substances and drug paraphernalia; counterfeit or infringing goods; live animals or plants; and any product that is illegal to store or sell in the United States. We may refuse, hold or return goods that we reasonably believe are prohibited or unsafe, at the client's cost.
6. Amazon services
When we manage Amazon accounts, listings or advertising, we act on the client's instructions and within Amazon's policies. Amazon controls its marketplace, rankings, fees, the Buy Box, account health decisions and case outcomes, so we cannot guarantee sales, rankings, advertising results, reinstatement or the result of any case. The client remains the owner of its Amazon account and is responsible for it. Access through the Selling Partner API is described on our Amazon Seller Integration page and may be revoked by the client at any time.
7. Use of the website
You agree not to misuse the Site, including by attempting unauthorized access, interfering with its operation, scraping it at a volume that burdens our systems, submitting false information or malicious content, or using it for any unlawful purpose.
8. Intellectual property
The Site, the Logi-Vault name, logo, mascot and content are owned by Logivault LLC or its licensors. You may view and print pages for your own business use. You may not copy, modify or reuse them for other purposes without our written permission. Clients keep all rights to their own trademarks, product content and data.
9. Disclaimers
The Site and its content are provided "as is" and "as available". To the extent permitted by law, we disclaim all warranties not expressly set out in a Services Agreement, including warranties of merchantability, fitness for a particular purpose and non-infringement. Transit times, carrier performance and third-party platforms are outside our control.
10. Limitation of liability
To the extent permitted by law, Logi-Vault is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from use of the Site or our services. Our liability for loss of or damage to goods in our care is limited as set out in the Services Agreement and any warehouse receipt. For claims related to the Site, our total liability will not exceed one hundred US dollars (US$100).
11. Indemnification
You agree to indemnify Logi-Vault against third-party claims arising from your products (including product liability, labeling and intellectual property claims), your breach of these terms or applicable law, or information you provide to us.
12. Governing law
These terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Greenville County, South Carolina, unless the Services Agreement provides otherwise.
13. Changes
We may update these terms. The effective date at the top shows when they last changed. Continued use of the Site after a change means you accept the updated terms.
